1. Acceptance and Eligibility

Welcome to HelmetXx. These Terms of Service ("Terms") constitute a legally binding agreement between you and HelmetXx governing your access to and use of the website located at helmetxx.myshopify.com (the "Site") and the purchase of products offered through the Site. By accessing the Site, browsing our product catalog, placing an order, or using any of our services, you expressly agree to be bound by these Terms in their entirety, as well as our Privacy Policy, Shipping Policy, and Returns and Refunds Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Site or purchase products from HelmetXx.

To use the Site and place orders, you must meet the following eligibility requirements:

  • You must be at least eighteen (18) years of age. If you are under eighteen, you may use the Site and place orders only with the involvement, supervision, and express consent of a parent or legal guardian who agrees to be bound by these Terms.
  • You must have the legal capacity to enter into a binding contract under applicable law.
  • You represent and warrant that all information you provide when creating an account or placing an order (including your name, billing address, shipping address, email address, and payment information) is accurate, current, and complete, and that you will maintain and promptly update this information to keep it accurate and complete.
  • You agree that you will not use the Site or our services for any unlawful purpose or in violation of these Terms.

We reserve the right, in our sole discretion, to refuse service, terminate accounts, remove or edit content, or cancel orders at any time for any reason, including if we believe that your conduct violates applicable law or is harmful to the interests of HelmetXx, our customers, or third parties.

2. The Store and Products

HelmetXx operates an online retail store offering helmets and related protective equipment and accessories (collectively, "Products"). Product descriptions, images, specifications, and other content on the Site are provided for informational purposes and are subject to change without notice. We make reasonable efforts to ensure that product descriptions, images, and specifications are accurate; however, we do not warrant that product descriptions, images, colors, specifications, availability, or other content on the Site are accurate, complete, reliable, current, or error-free. The display of products on the Site does not constitute an offer to sell; rather, it is an invitation to you to submit an offer to purchase.

Product images are for illustrative purposes. Actual products may vary slightly in color, design, or appearance from the images shown, depending on your device display settings and other factors. We reserve the right, at any time and without prior notice, to:

  • Modify, discontinue, or change the selection of Products offered for sale;
  • Limit the quantities of any Products available for purchase per person, per household, or per order;
  • Impose conditions on the use of promotions, coupon codes, or other offers;
  • Refuse or cancel any order for any reason, including suspected fraud, unauthorized or illegal transactions, pricing or product description errors, or insufficient stock.

All Products are subject to availability. In the event that a Product you have ordered is out of stock or otherwise unavailable, we will notify you and, at our discretion, offer a substitute product or cancel that item from your order and refund any payment made for that item.

3. Orders and Order Acceptance

When you place an order through the Site, you are making an offer to purchase the Products in your order at the prices and on the terms stated at checkout. All orders are subject to acceptance by HelmetXx. We may, in our sole discretion, accept or decline your order for any reason, including product availability, errors in product or pricing information, suspected fraudulent or unauthorized transactions, or your failure to meet eligibility requirements.

After you submit an order, you will receive an automated order confirmation email at the email address you provided. This confirmation email is an acknowledgment that we have received your order; it does NOT constitute our acceptance of your order or confirmation that your order will be fulfilled. Your order is accepted, and a binding contract is formed, only when we send you a shipping confirmation email notifying you that your order has been dispatched.

We reserve the right to refuse or cancel any order at any time prior to shipment, including after you have received an order confirmation email, for reasons including but not limited to:

  • The Product is no longer available or is out of stock;
  • Pricing, product description, or availability errors;
  • Your payment method is declined or fails verification;
  • We suspect the transaction is fraudulent, unauthorized, or otherwise unlawful;
  • Your billing or shipping information cannot be verified;
  • You have violated these Terms or any other policy of HelmetXx.

If your order is canceled after your payment method has been charged, we will issue a full refund to the original payment method. We reserve the right to limit order quantities and to refuse orders from dealers, resellers, or distributors.

4. Pricing and Sales Tax

All prices displayed on the Site are in United States Dollars (USD) and are exclusive of applicable sales tax. The price you see for each Product on the product page and in your shopping cart does not include sales tax. Applicable state and local sales tax will be calculated and added to your order total at checkout based on the shipping destination address you provide. The final order total, including all applicable taxes, will be displayed for your review before you submit your order.

We make every effort to ensure that pricing information on the Site is accurate; however, pricing errors may occasionally occur. If we discover a pricing error after you have placed an order, we will notify you and give you the option to cancel your order or proceed with the purchase at the correct price. If you choose to cancel, or if you do not respond within a reasonable time and we cancel the order, we will issue a full refund of any payment made. We reserve the right to revoke any stated offer and to correct any errors, inaccuracies, or omissions, including after an order has been submitted, whether or not the order has been confirmed and your payment method charged.

Prices for Products are subject to change at any time without notice. Price changes will not affect orders for which we have already sent a shipping confirmation email. Promotions, discounts, and coupon codes are subject to the specific terms and conditions stated in the promotional offer and may be modified or discontinued at any time.

5. Payment

Payment for your order must be made in full at the time you place your order. We accept payment by major credit cards, debit cards, and other payment methods as displayed at checkout. Payment processing is handled by secure third-party payment processors. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us (or our payment processors) to charge the full amount of your order, including Products, applicable taxes, and any shipping charges, to that payment method.

You agree to provide current, complete, and accurate payment and billing information. You agree to promptly update your payment information (including billing address, card number, and expiration date) as necessary to ensure successful payment processing. If your payment method is declined or fails for any reason, we reserve the right to cancel your order. We also reserve the right to use third-party services to verify your payment information and to refuse or cancel any order if fraud or an unauthorized or illegal transaction is suspected.

While we use commercially reasonable efforts to ensure that payment processing is secure, we are not responsible for any errors, delays, or issues caused by third-party payment processors. All payment disputes or chargebacks must be resolved in accordance with the policies of your payment method provider and applicable law. Unauthorized chargebacks or payment disputes may result in suspension or termination of your account and your ability to make future purchases from HelmetXx.

6. Shipping and Delivery

We ship Products to addresses within the United States. Detailed information about our shipping methods, processing times, delivery estimates, and policies is available on our Shipping Policy page, which is incorporated into these Terms by reference. Please review the Shipping Policy carefully before placing your order.

Shipping within the United States is FREE for all orders. There are no shipping costs or handling fees added to your order. We process orders within one (1) business day of receiving your order, and delivery typically takes 3-5 working days from the date of shipment, depending on your location and the shipping carrier. Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, natural disasters, customs clearance, or other events beyond our control.

You are responsible for providing a complete and accurate shipping address. We are not responsible for orders delivered to an incorrect address provided by you or for delays or non-delivery resulting from an incomplete or incorrect address. If a shipment is returned to us as undeliverable due to an incorrect address, you may be responsible for additional shipping charges to re-send the order.

Title and risk of loss for Products pass to you upon delivery to the shipping carrier. Once your order has been picked up by the carrier, HelmetXx is not responsible for loss, damage, or delay in transit. If your order is lost or damaged during shipment, please contact us at contact@helmetxx.shop within a reasonable time, and we will work with you and the carrier to resolve the issue.

Tracking information will be provided via email once your order has shipped. You are responsible for monitoring the tracking information and arranging to receive delivery. If you will not be available to receive a delivery, please make arrangements with the carrier or provide delivery instructions in advance.

7. Returns and Refunds

HelmetXx offers a 30-day return policy for eligible Products. Please note that there is no statutory cooling-off period or right of withdrawal for online purchases under US federal law; our 30-day return window is a voluntary store policy provided for your convenience. Detailed information about our return process, eligibility requirements, conditions, procedures, and refund processing is available on our Returns and Refunds Policy page, which is incorporated into these Terms by reference. Please review the Returns and Refunds Policy carefully before making a purchase.

To initiate a return, you must contact us within 30 days of the delivery date. Returns must meet the conditions set forth in our Returns and Refunds Policy, including that Products must be unused, in original condition, and in original packaging. Certain Products may be non-returnable as specified in the Returns and Refunds Policy. You are responsible for return shipping costs unless the return is due to our error or a defective Product.

Refunds will be issued to the original payment method once we receive and inspect your returned Product. Please allow a reasonable processing time for refunds to appear in your account. We reserve the right to refuse or limit returns or refunds at our discretion if we believe that our return policy is being abused or violated.

8. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, product descriptions, photographs, videos, software, code, design elements, and the compilation and arrangement thereof (collectively, "Content"), is the property of HelmetXx or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The HelmetXx name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HelmetXx or its affiliates or licensors. You may not use these trademarks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your personal, non-commercial use only. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as incidentally necessary to view the Site in the ordinary course of use or as expressly permitted in writing by HelmetXx;
  • Use any Content for commercial purposes or for any public display (commercial or non-commercial) without our express written consent;

9. Acceptable Use

In addition to the restrictions set forth elsewhere in these Terms, you agree that you will not use the Site to:

  • Infringe the intellectual property rights, privacy rights, or other rights of HelmetXx or any third party;
  • Transmit or upload any viruses, worms, malware, or other malicious code or files;
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm HelmetXx or users of the Site or expose them to liability;
  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site;
  • Use any device, software, or routine that interferes with the proper working of the Site;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
  • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack;
  • Impersonate or attempt to impersonate HelmetXx, a HelmetXx employee, another user, or any other person or entity;
  • Provide false, inaccurate, or misleading information when creating an account or placing an order;
  • Use the Site for any fraudulent or unlawful purpose;
  • Harvest or collect email addresses or other contact information of other users from the Site by electronic or other means;
  • Use the Site to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation without our express written consent.

We reserve the right to terminate your access to the Site and take any other appropriate action if you violate this Acceptable Use section or any other provision of these Terms.

10. Disclaimers of Warranties

THE SITE, ALL CONTENT, AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, HELMETXX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HELMETXX DOES NOT WARRANT THAT THE SITE, CONTENT, OR PRODUCTS WILL MEET YOUR REQUIREMENTS; THAT THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
